Tebi Affiliate Program Terms and Conditions

Program overview

1.1 In these Terms and Conditions “we” or “us” or “our” or “Tebi” refers to Tebi B.V., a private company with limited liability incorporated under the laws of The Netherlands.

1.2 The Tebi Affiliate Program (the “Program”) allows participants (the "Affiliates") to earn commissions by promoting and referring new customers to our products or services.

1.3 Participation in the Program is subject to our approval. We reserve the right to reject any application for or terminate an Affiliate's participation in the Program at any time and for any reason.

1.4 By participating in the Program, you consent to Tebi processing your personal data for the purpose of executing the Program.

1.5 In order to be eligible for participation in the Program, you must possess a valid and active bank account with a bank established in the European Union. The EU bank account should be registered in the name of the individual that signs up for the Program.

1.6 Individuals who are currently employed by Tebi – whether as an employee or as a contractor - or who have a financial interest in Tebi, are not eligible to participate in the Program.

Affiliate responsibilities

2.1 As an Affiliate, you may have access to our promotional materials, such as pitch decks, which you may use to promote our products or services.

2.2 You agree to promote our products or services in a manner that complies with all applicable laws, regulations, and ethical standards.

2.3 If Tebi so requests at any time, you shall immediately: (i) return to Tebi all of its promotional materials received by you without retaining any copies thereof; or (ii) destroy or permanently erase all copies of Tebi’s promotional materials supplied to you.

2.4 You will be solely responsible for the content and manner of your promotional activities. We will not be liable for any claims, damages, costs or expenses arising from or relating to your promotional activities. You will not be supervised by Tebi while conducting your promotional activities.

2.5 When promoting our products or services, you are not allowed to acquire traffic to your promotional content through paid advertising.

Commission and Payments

3.1 You will earn a commission for each eligible sale generated through your unique affiliate code. The commission rate and structure will be outlined separately and may be subject to change without prior notice.

3.2 Commissions will only be paid for successful referrals that are tracked correctly through your unique affiliate referral code and meet the eligibility criteria as determined by us.

3.3 We reserve the right to review and verify all sales and commissions. Any fraudulent or misleading activities of either you or the referred business may result in the termination of your participation in the Program and forfeiture of any outstanding commissions.

3.4 The Program has a one-year window limit, so once a user has used your referral code, you will receive commission whenever they convert during this period.

3.5 Acceptance by Tebi of a new customer referred by you is a condition precedent to the payment of a commission for such referral. Whether or not a potential customer is accepted as a new customer is at the sole discretion of Tebi. In any event, Tebi will not accept a potential customer as a new customer if: (i) the potential customer is not established in the Netherlands, or (ii) the potential customer falls within the scope of businesses referred to in the list of restricted and prohibited businesses.

3.6 The entering of the affiliate referral code into the Tebi system during the sign-up process will be a condition precedent to the payment of commission.

Intellectual Property

4.1 When you take part in the Program, we grant you a non-exclusive, revocable, and limited license to use our promotional materials solely for the purpose of promoting our products or services, provided that your use of our promotional materials is always in accordance with the guidelines provided in the ‘Tebi Affiliate Program Pack’ package, as amended from time to time, that can be found on our website.

4.2 You agree to not modify or create derivative works from our promotional materials in any way without our prior written consent.

4.3 All intellectual property rights, including trademarks and copyrights, related to our products, services, and promotional materials, remain our exclusive property.

Termination

5.1 Either party may terminate your participation in the Program at any time and for any reason by providing written notice to the other party.

5.2 Upon termination of your participation in the Program, you will no longer be eligible to earn commissions for sales generated after the termination date. Any outstanding commissions earned prior to the termination date will be paid according to the provisions of these Terms and Conditions.

Modifications

6.1 We reserve the right to modify or update these Terms and Conditions at any time without prior notice. It is your responsibility to review these Terms and Conditions regularly.

6.2 Your continued participation in the Program after any modification or update of these Terms and Conditions shall constitute your acceptance of the modified or updated Terms and Conditions.

Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any and all damage arising out of or relating to your participation in the Program, regardless of the cause of action or theory of liability.

Governing Law and Disputes

These Terms and Conditions and the relationship between Tebi and you shall be governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or relating to these Terms and Conditions or your participation in the Program or the termination thereof shall be subject to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands.
